Spartan52 Media Group Partner Agreement

By becoming a partner of Spartan52 Media Group ("Spartan52"), you agree to the terms and conditions outlined in this Partner Agreement.

For the purposes of this Agreement:

• "Partner," "you," and "your" refer to the individual or organization entering into this Agreement with Spartan52.

• "Spartan52" refers to Spartan52 Media Group and its authorized representatives.

• "Sites" refer to spartan52.wolffes.com, legiontv.wolffes.com, and any current or future websites, applications, platforms, or services operated by Spartan52.

Content License

You grant Spartan52 permission to host, display, distribute, and promote the video content identified and agreed upon by both parties ("Content").

The Content may be made available through Spartan52-operated platforms and services for viewing by users in accordance with this Agreement.

Promotional Rights

You grant Spartan52 permission to use promotional materials associated with the Content, including but not limited to trailers, previews, posters, artwork, descriptions, screenshots, logos, and marketing assets.

Spartan52 may use these materials on its Sites, social media channels, advertisements, promotional campaigns, press materials, and other marketing efforts related to Spartan52 and the Content.

Spartan52 may also create promotional excerpts from the Content for marketing purposes. Such excerpts will generally not exceed five (5) minutes in length unless the material being used is already intended for promotional distribution, such as a trailer, teaser, preview, or other promotional content provided by you.

Streaming Rights

You grant Spartan52 the exclusive right to stream, host, display, and distribute the Content through streaming platforms, websites, applications, and services owned or operated by Spartan52 during the term of this Agreement.

This exclusivity does not restrict your ability to stream, publish, distribute, or display the Content through channels, platforms, websites, applications, or services that you directly own, operate, or control.

You agree not to authorize or permit third-party streaming services, distributors, or competing streaming platforms to stream or distribute the Content during the term of this Agreement without the prior written consent of Spartan52.

Spartan52 may make the Content available across any current or future platform, website, application, or service operated by Spartan52, including but not limited to streaming services, content libraries, mobile applications, connected television platforms, and promotional channels.

Additional distribution arrangements may be agreed upon separately in writing. 

Name and Branding Rights

You grant Spartan52 permission to use your publishing name, brand name, company name, logo, Content titles, and related identifying information for purposes related to the operation, promotion, distribution, and marketing of the Content and Spartan52's services.

Spartan52 may identify you as a partner, creator, publisher, distributor, or content provider and may reference your association with Spartan52 in promotional, informational, or business materials.

Ownership

Except for the rights expressly granted under this Agreement, all ownership rights in and to the Content remain with you.

Nothing in this Agreement transfers ownership of the Content, intellectual property, trademarks, or branding from you to Spartan52.

Termination

Either party may terminate this Agreement by providing written notice to the other party.

Upon termination, Spartan52's rights to distribute and promote the Content under this Agreement will end, except where continued use is reasonably necessary to complete existing obligations, remove Content from systems, archives, promotional materials, or distribution channels.

You acknowledge that removal of Content from Spartan52's platforms, marketing materials, archives, and distribution systems may require a reasonable transition period of up to ninety (90) days following termination.

Limitation of Liability

To the fullest extent permitted by law, Spartan52 shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from this Agreement, the distribution of Content, service interruptions, technical issues, or actions of third-party service providers.

Modifications

Spartan52 may update this Agreement from time to time. Continued participation as a partner following notice of any material changes constitutes acceptance of the revised Agreement.

Acceptance

By submitting Content to Spartan52, entering into a partnership with Spartan52, or otherwise participating as a partner, you acknowledge that you have read, understood, and agreed to this Partner Agreement.
